TERMS OF SERVICE

CHAPTER I. GENERAL PROVISIONS

1.1. Introduction

These Terms of Service (“Terms”) govern the rights, obligations, responsibilities, and legal conditions applicable to the access, registration, use, or exploitation of any products, services, platforms, websites, applications, APIs, software, technologies, and digital solutions owned, developed, or provided by Metaconex Ltd (“Metaconex”, “we”, “our”).

If you do not agree with any part of these documents, you must immediately discontinue access to and use of Metaconex services.

These Terms of Service apply to all individuals, organizations, enterprises, partners, agents, collaborators, or any other entities accessing or using Metaconex products and services, regardless of country, territory, or manner of use.

These Terms govern the entire service usage process, including but not limited to account registration, website usage, applications, APIs, data storage systems, AI platforms, digital tools, paid services, free services, and any features provided by Metaconex from time to time.

For certain specialized products or services, Metaconex may issue additional specific terms. In the event of any inconsistency between these Terms and the specific terms applicable to a particular product or service, the specific terms shall prevail for that product or service.

1.3. Definitions

In these Terms of Service, the following terms are defined as follows:

The provision of technical infrastructure or access to the Services does not imply that Metaconex endorses, guarantees, approves, or assumes responsibility for any content, products, services, or transactions conducted by users.

1.5. Principles of Use

Users agree to use Metaconex services lawfully, honestly, and in good faith, and to fully comply with these Terms, Metaconex policies, and applicable laws in the jurisdiction where the services are used.

Users must not use the Services to carry out or facilitate any unlawful activities or any acts that infringe upon the rights and legitimate interests of Metaconex or any third party.

Any use of the Services to distribute malware, spam, fraudulent content, infringing intellectual property content, content prohibited under the Content Policy, or any activity that may compromise the security, integrity, or normal operation of the system is strictly prohibited.

1.6. Right to Modify the Terms

Metaconex reserves the right to amend, supplement, or replace these Terms of Service at any time to comply with legal requirements, regulatory changes, business model adjustments, technological developments, or service improvements.

The updated version of the Terms shall take effect upon publication on the website or upon notification via communication channels deemed appropriate by Metaconex.

Continued access to or use of the Services after the Terms have been updated shall constitute acceptance of the revised Terms.

1.7. Effectiveness and Severability

If any provision of these Terms is declared invalid or unenforceable by a competent authority, such invalidity shall not affect the validity of the remaining provisions.

The remaining provisions shall continue to be enforceable to the maximum extent permitted by law, ensuring the original intent and purpose of these Terms of Service are preserved.

CHAPTER II. USER ACCOUNTS

2.1. Account Registration

To access and use some or all of the services provided by Metaconex Ltd, users must register and maintain a valid account. By registering an account, users confirm that all information provided to Metaconex is complete, accurate, truthful, and promptly updated throughout the use of the services. Users must not use false identities, misleading information, or information belonging to any individual or organization without lawful authorization.

Metaconex reserves the right to refuse account registration or request additional verification information if it is discovered or reasonably suspected that the registration information is inaccurate, incomplete, fraudulent, falsified, or in violation of applicable laws. Any refusal or account termination in such cases shall not give rise to any compensation obligation on the part of Metaconex.

2.2. Account Eligibility

Users must have full legal capacity and civil act capacity under the laws of their country or territory of residence to use Metaconex services. If a user registers an account on behalf of a company, organization, or other legal entity, the user represents and warrants that they have full authority to bind such entity to these Terms of Service.

Metaconex reserves the right to request users to provide legal documentation or proof of authorization when necessary to ensure lawful use of the services.

2.3. Account Security

Users are solely responsible for maintaining the confidentiality of their login credentials, including but not limited to usernames, passwords, authentication codes, API keys, access tokens, security keys, or any other authentication information used to access Metaconex services.

Users are fully responsible for all activities occurring under their account, whether such activities are performed by the user or by any third party using the user’s credentials.

If a user detects or suspects unauthorized access, credential theft, or any security breach, they must immediately notify Metaconex for assistance. However, Metaconex shall not be liable for any loss, damage, or consequences arising prior to receipt of such notification or resulting from the user’s own security failures.

2.4. Identity Verification

To ensure system security, prevent fraud, money laundering, terrorist financing, service abuse, or to comply with requests from competent authorities, Metaconex may require users to verify their identity or provide additional documents and information at any time during the use of the services.

Verification may include, but is not limited to, email confirmation, phone number verification, identity documents, business registration certificates, payment information, business address, or any other information deemed necessary by Metaconex.

Metaconex reserves the right to suspend, restrict, or refuse service provision if a user fails to complete required verification, or provides inaccurate, untruthful, or fraudulent information.

2.5. Account Responsibility

Users are fully responsible for all data, content, transactions, requests, technical operations, API calls, websites, applications, domain names, or any activities conducted through their account.

Metaconex is not obligated to verify whether the person using an account is the legitimate owner of that account. Any request made through a verified account shall be deemed a valid request from the account holder, unless Metaconex has reasonable grounds to determine otherwise.

Users agree that Metaconex shall not be liable for any damages arising from sharing login credentials, granting access to third parties, or failing to implement appropriate security measures.

2.6. Business Accounts

For accounts registered under a company or organization, the organization is fully responsible for all activities conducted by individuals granted access to the account, including employees, collaborators, agents, contractors, or any other authorized persons.

Changes in personnel, termination of employment, or internal disputes shall not impose any obligation on Metaconex to determine ownership or control of the account. The organization is responsible for managing access rights and revoking access for individuals no longer authorized to use the services.

2.7. Suspension or Termination of Accounts

Metaconex reserves the right, but is not obligated, to suspend, restrict, or terminate user accounts without prior notice if there is reasonable evidence that:

In the event of account suspension or termination, Metaconex reserves the right to disable access, restrict service usage, delete or retain data in accordance with applicable laws and internal policies. Unless otherwise required by law or agreed in writing, Metaconex shall not be obligated to refund any fees paid prior to termination resulting from user violations.

CHAPTER III. RIGHTS AND OBLIGATIONS OF USERS

3.1. Right to Use the Services

Upon fully meeting the conditions set forth in these Terms of Service, users are granted a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the services provided by Metaconex Ltd at any time in accordance with these Terms.

Such right is granted solely for the lawful use of features provided by Metaconex and does not confer any ownership rights over the platform, software, technology, source code, or any intellectual property of Metaconex.

Users may use the services only within the scope of the service package they have registered for or as otherwise permitted by Metaconex. Any rights not expressly granted under these Terms are reserved by Metaconex.

The provision of usage rights does not constitute a transfer of ownership, commercial exploitation rights, or any intellectual property rights related to the services.

3.2. User Rights

Metaconex has no obligation to verify ownership or legality of user-provided content and assumes no responsibility for any disputes arising from such content.

To ensure a safe and legally compliant environment, users must not engage in or facilitate any of the following activities:

3.6. Compliance with Laws

Users are responsible for understanding and complying with all applicable laws and regulations in their country or territory of use.

The fact that Metaconex provides access to the services shall not be interpreted as confirmation that such use is lawful in all jurisdictions.

Users are solely responsible for any legal obligations, tax obligations, licenses, or administrative requirements arising from their business activities or use of the services.

3.7. Indemnification

Users agree to indemnify and hold harmless Metaconex Ltd, its affiliates, directors, employees, partners, and representatives from and against any and all losses, damages, costs, penalties, liabilities, claims, demands, or legal expenses arising out of:

CHAPTER IV. USER-GENERATED CONTENT (UGC)

4.1. Ownership of Content

Metaconex Ltd does not require users to transfer ownership of any content created, uploaded, stored, transmitted, or published through the services. Unless otherwise agreed in writing, users remain the owner or lawful rights holder of all content they provide on the platform.

However, users are fully responsible for ensuring that they have all necessary ownership rights, usage rights, licenses, or other legal permissions for any content uploaded to Metaconex’s systems. Users warrant that the use of such content does not infringe any intellectual property rights, privacy rights, publicity rights, trade secrets, or any other lawful rights or interests of any individual, organization, or third party.

The storage or display of user content by Metaconex shall not be interpreted as an endorsement, validation, or confirmation of ownership or legality of such content.

4.2. Content License

In order for Metaconex to operate and provide the services, users grant Metaconex a non-exclusive, worldwide, royalty-free, transferable (to affiliates, technical partners, or service providers as necessary) license for the purpose of operating the system.

This license permits Metaconex to store, copy, transmit, process, analyze, reformat, display, encode, decode, back up, synchronize, index, and perform all necessary technical operations on user content for the purpose of delivering the platform’s functionality.

This license is limited to what is necessary for operating, maintaining, securing, improving, and developing the services, or complying with legal obligations. It terminates when users delete the content or stop using the services, except for backups, system logs, or data that Metaconex is required to retain under applicable law or the Privacy Policy.

4.3. Responsibility for Content

Users are solely responsible for all content, data, information, documents, images, videos, audio, software, source code, databases, or any digital assets created, uploaded, stored, transmitted, or published through the services.

Users are responsible for the legality, accuracy, truthfulness, completeness, and all legal consequences arising from such content.

Metaconex has no obligation to monitor, verify, edit, pre-approve, or guarantee the legality, quality, or accuracy of any user-generated content.

The presence of content on the platform does not imply that Metaconex endorses, certifies, approves, or assumes responsibility for such content.

4.4. Prohibited Content

Users must not create, store, transmit, or publish any content that falls into the following categories:

4.5. Content Review and Enforcement Rights

To ensure platform safety, integrity, and legal compliance, Metaconex may, but is not obligated to, review, scan, analyze, or monitor user-generated content through manual, automated, or AI-based methods.

Metaconex reserves the right to refuse, restrict visibility, suspend, disable, remove, or block access to any content if there is reasonable belief that such content violates these Terms, applicable policies, or laws, or may cause harm to Metaconex, users, or third parties.

Failure by Metaconex to review or immediately act on content shall not be interpreted as approval, validation, or waiver of its right to take action.

4.6. AI-Generated Content

Some Metaconex services may use artificial intelligence to generate, edit, analyze, or process content based on user input.

Users acknowledge that AI-generated content may be inaccurate, incomplete, unsuitable for specific purposes, or may unintentionally contain incorrect information. Users are responsible for reviewing and verifying such content before use or publication.

Metaconex does not guarantee that AI-generated content is accurate, free of third-party rights violations, or compliant with legal requirements in all jurisdictions.

Users are fully responsible for any use, modification, distribution, or commercial exploitation of AI-generated content provided through Metaconex services.

4.7. Reporting and Content Removal

If any individual or organization believes that content on the Metaconex platform infringes their legal rights or applicable laws, they may submit a report along with supporting evidence to Metaconex through the procedures published on the website.

Upon receiving such notification, Metaconex may review the request, require additional information, temporarily restrict access, remove content, or take other necessary actions where reasonably justified.

Metaconex is not obligated to resolve ownership disputes between parties and may require parties to resolve such disputes through negotiation, arbitration, or competent authorities.

4.8. Disclaimer of Liability

To the maximum extent permitted by law, Metaconex is not liable for any content created, stored, transmitted, or published by users through the services.

Metaconex shall not be responsible for any damages, disputes, claims, liabilities, or legal actions arising from user content, including but not limited to issues involving copyright, trademarks, image rights, privacy, trade secrets, reputation, or any civil rights.

Users agree to indemnify and hold harmless Metaconex, its affiliates, officers, employees, and partners from any liability arising from user-generated content or from violations of these Terms, the Content Policy, or applicable laws.

CHAPTER V. RIGHTS OF METACONEX

5.1. Rights to Manage and Operate the Services

Metaconex Ltd is the lawful owner and operator of all technical infrastructure, software, platforms, websites, applications, APIs, databases, AI systems, and services provided by Metaconex.

To the extent permitted by law, Metaconex has full discretion over system operations, technical configurations, interface design, features, service delivery processes, and technical standards necessary to ensure system stability, security, and performance.

Metaconex reserves the right to add, modify, upgrade, replace, restrict, or discontinue any feature, product, or service at any time for maintenance, technological improvements, security purposes, legal compliance, or business strategy.

5.2. Monitoring and Inspection Rights

To ensure security, integrity, and stability of the platform, Metaconex may, but is not obligated to, monitor, inspect, analyze, or review service usage through manual or automated methods.

Metaconex may use data analytics, AI systems, anomaly detection, fraud prevention tools, and other technical measures to detect, prevent, and address potential violations of these Terms, policies, or applicable laws.

Failure to conduct monitoring shall not be interpreted as acceptance of user conduct or assumption of responsibility for such conduct.

5.3. Right to Refuse Service

Metaconex reserves the right to refuse or discontinue service to any individual or organization where there is reasonable belief that providing the service may:

5.4. Suspension, Restriction, or Termination of Services

Metaconex is not liable for any damages arising from service interruptions due to maintenance, upgrades, or events beyond reasonable control.

5.9. Protection of Metaconex’s Rights and Interests

In the event of disputes, complaints, claims, or legal actions arising from user activity, Metaconex may take all lawful measures to protect its rights and interests, including collecting evidence, retaining system logs, requesting user explanations, demanding compensation, initiating legal proceedings, or cooperating with competent authorities.

Users agree to fully cooperate with Metaconex in any investigation, verification, or dispute resolution related to their account or service usage.

CHAPTER VI. PAID SERVICES, PAYMENTS, AND REFUNDS

6.1. Paid Services

Metaconex Ltd provides both free and paid service plans depending on each product, feature, or solution published from time to time. Users may choose the service plan that best suits their needs and agree to pay all applicable fees in full before accessing or continuing to use paid services.

Information regarding pricing, service scope, resource limits, features, billing cycles, and applicable conditions will be published on the website, application, or official commercial documentation. Such information forms an integral part of these Terms of Service.

By subscribing to or continuing to use paid services, users acknowledge that they have read, understood, and agreed to the applicable fees, payment methods, and conditions associated with the selected service plan.

6.2. Pricing

Metaconex reserves the right to adjust service pricing, modify service packages, resource limits, features, or commercial policies at any time to reflect business requirements, market changes, operational costs, or legal regulations.

For subscription-based services, new pricing shall apply from the next billing cycle following notification to users via website, email, or other appropriate communication channels.

Continued use or renewal of services after price changes take effect constitutes acceptance of the updated pricing.

6.3. Payment

Users are responsible for paying all fees incurred from the use of services in full, on time, and accurately.

Users agree that Metaconex or its designated payment partners may process transactions through legally supported payment methods.

Users are responsible for ensuring that their payment information is accurate, valid, and capable of completing transactions.

All paid fees are recorded at the time the system confirms successful payment.

Metaconex is not responsible for any additional charges imposed by banks, card issuers, payment intermediaries, or other financial institutions.

6.4. Auto-Renewal

For subscription-based services, users agree that services will automatically renew at the end of each billing cycle unless auto-renewal is disabled prior to renewal.

At the time of renewal, Metaconex or its designated payment partners may automatically charge the applicable fee using the user’s registered payment method.

If a payment transaction fails, Metaconex may retry charging within a reasonable period or suspend service access until payment is successfully completed.

6.5. Late Payment

If users fail to make payment on time or if a payment transaction is declined, Metaconex reserves the right to:

Such promotions are valid only within the scope, duration, and conditions specified by Metaconex. Unless otherwise stated in writing, service credits are non-cashable, non-transferable, and non-refundable.

Metaconex reserves the right to revoke any promotional benefits if fraud, abuse, or violation of these Terms is detected.

6.9. Modification or Discontinuation of Services

Metaconex may modify, upgrade, merge, split, or discontinue any service plan at any time.

If a service plan is discontinued, Metaconex may offer users migration to an alternative plan with equivalent or superior features. If continued provision is not possible, Metaconex will handle remaining user entitlements in accordance with applicable policies and laws.

6.10. Payment Disputes

If users believe there is an error related to a payment transaction, they must notify Metaconex in writing within 30 (thirty) days from the transaction date.

After this period, the transaction will be deemed accepted by the user, and Metaconex is not obligated to review claims unless otherwise required by law.

During dispute resolution, users remain responsible for paying any undisputed fees.

6.11. No Guarantee of Business Results

Payment for the use of Metaconex services does not constitute any guarantee or assurance of business outcomes, revenue, profit, traffic volume, search ranking, conversion rates, advertising performance, or any specific commercial results.

All business or investment decisions made based on the use of the services are the sole responsibility of the user and are undertaken at their own risk.

To the maximum extent permitted by law, Metaconex shall not be liable for any business losses, loss of revenue, loss of profit, loss of opportunities, or indirect damages arising from the use or inability to use the services.

CHAPTER VII. LIMITATION OF LIABILITY AND DISCLAIMER

7.1. Provision of Services on an “As-Is” Basis

Unless otherwise expressly agreed in writing, all services provided by Metaconex Ltd are offered on an “as is” and “as available” basis.

To the maximum extent permitted by law, Metaconex makes no representations, warranties, or guarantees, whether express or implied, regarding the services, including that they will:

For users of free services, Metaconex shall bear no liability unless otherwise required by mandatory applicable law.

This limitation does not affect any non-excludable statutory rights under applicable law.

7.5. Disclaimer for User Content

Metaconex is not responsible for any content, data, documents, images, videos, source code, websites, applications, or information created, uploaded, stored, shared, or published by users through the services.

Metaconex has no obligation to verify the legality, accuracy, or ownership of such content.

Any disputes arising between users and third parties in relation to user content shall be resolved between the parties themselves. Users agree not to hold Metaconex liable or involve Metaconex in such disputes, except where required by applicable law.

7.6. Disclaimer for Third-Party Services

The services of Metaconex may integrate, connect, or interact with products, services, platforms, websites, or systems provided by third parties.

Metaconex does not control and is not responsible for:

Unless otherwise stated in writing, all intellectual property rights in the services, including but not limited to software, source code, object code, algorithms, AI models, databases, APIs, user interfaces, designs, layouts, icons, logos, trade names, trademarks, domains, technical documentation, manuals, operational processes, trade secrets, system data, and other proprietary assets developed or owned by Metaconex Ltd or its licensors remain the exclusive property of Metaconex or its licensors.

Use of the services does not grant users any ownership rights, commercial exploitation rights, or intellectual property rights over such assets.

8.2. License to Use

Metaconex grants users a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the services in accordance with these Terms.

Users may only use the services for lawful purposes and within the functionality permitted by Metaconex.

8.3. Usage Restrictions
